VERSE TERMS AND CONDITIONS

These VerSe Terms and Conditions ("Terms") constitute a binding agreement between you and Ver Se Innovation Private Limited, having its office at Mantri Commercio, Spatium Offices, Unit 001, Tower A, 5th Floor, Outer Ring Road, Near Sakra World Hospital, Kariyammana Agrahara, Bellandur, Bengaluru, Karnataka - 560103 ("VerSe", "we", "us" or "our"). These Terms govern your purchase from VerSe, the subscription access to the Publications made available by Magzter through the Service. By completing your purchase of the subscription, activating the Service or otherwise using the Service, you agree to these Terms.

1. Definitions.
   1. "Magzter" means Magzter Inc., the owner and operator of the Service.
   2. "Magzter Terms" means Magzter's Terms and Conditions, Privacy Policy, Copyright Policy and other rules or policies applicable to the Service, as made available by Magzter from time to time.
   3. "Publications" means the various magazines, books, news and magazine and publication related content made available through the Service.
   4. "Service" means the Magzter website, mobile applications and digital library service through which Publications are made available by Magzter to you on a subscription basis.
2. VerSe is an authorised reseller of the Service in India and facilitates access to the Service made available by Magzter. When you purchase a Service under these Terms, VerSe sells you the right to access the Service for the period and plan identified at the time of purchase. VerSe does not own or operate the Service. The Service is owned, controlled, operated and administered by Magzter from outside India. Magzter is responsible for enabling access to the Publications through the Service.
3. Your access to and use of the Service, including account registration, platform functionality, availability of Publications, intellectual property restrictions and acceptable use, are, in addition to these Terms also, governed by the Magzter Terms available at https://www.magzter.com/publisher/terms. These Terms govern the purchase of the Service by you from VerSe. If there is a conflict between these Terms and Magzter Terms, these Terms will prevail only in relation to the purchase of subscription for accessing the Service by VerSe, and the Magzter Terms will prevail in relation to access to and use of the Service.
4. The Publications accessible through the Service are provided to Magzter by third-party publishers, authors, licensors and other content providers, and are made available to you through the Service by Magzter. Magzter is a distributor and not a publisher of the Publications made available through the Service, and accordingly Magzter has no editorial control over such Publications and that such Publications are those of the respective author(s) or publisher(s) and not of Magzter. You acknowledge and agree that VerSe is not responsible for the accuracy or the reliability of any Publication made available through the Service, and VerSe will not be liable for any loss or damage caused for your reliance on the Publications made available through the Service.
5. You acknowledge and agree that VerSe does not have the right or authority to create, aggregate, moderate, curate, edit, alter, or otherwise exercise any control over any content or the Publications made available through the Service. Additionally, VerSe does not control decisions made by Magzter in relation to the Publication or other content made available through the Service.
6. The price, subscription period, including features and any applicable taxes will be displayed before you complete the purchase. You agree to pay the total amount shown at checkout, including all sales-related taxes as per the taxation norms applicable to your location.
7. All sales are final and no refunds in full or in part will be issued.
8. The Service, including its software, technology and design, is owned by Magzter or its licensors. 'Magzter', 'Magzter.com', 'Magzter GOLD', 'Magzter Gold Lite' and all other related words and domain names are the trademarks and the property of Magzter. All other trademarks, logos and company names are the property of their respective owners.
9. VerSe may refuse a purchase, cancel a transaction, suspend renewal of your subscription or terminate these Terms due to a Force Majeure Event or if you fail to pay an amount due, breach these Terms, misuse the Service, engage in fraud or unlawful activity, or where required by applicable law or a competent authority. Magzter may suspend or terminate your access to the Service in accordance with the Magzter Terms. VerSe does not control decisions made by Magzter concerning suspension or termination of your access to the Service.
10. The Service and all Publications made available to you on an 'as is' and 'as available' basis as provided by Magzter. VerSe and its affiliates expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement, with respect to the Service. Without limiting the foregoing, neither VerSe nor its affiliates, suppliers, licensors or agents, make any warranty that (i) the Service will meet your requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the information that may be obtained from the use of the Service or that may be contained in the Publications will be accurate or reliable, or (iv) the quality of any Publications or the Service will meet your expectations. You are solely responsible for obtaining and maintaining reliable internet connectivity and your device. VerSe is not responsible for your inability to download content. Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by you from VerSe shall create any warranty. To the maximum extent permitted by applicable law, neither VerSe nor its affiliates, suppliers licensors, or agents shall be liable under any theory of law, for any indirect, incidental, punitive, or consequential damages. To the maximum extent permitted by applicable law, the aggregate liability of VerSe for claims arising from facilitating your access to the Service or Publications or otherwise shall be limited to the fees paid by you to VerSe for the portion of the Service or Publication giving rise to the claim. You agree to defend VerSe and its affiliates, their officers, and employees, from all claims, demands, actions, damages, costs and liabilities arising out of your use or misuse of the Service.
11. VerSe may revise these Terms from time to time at its sole discretion. Your continued use of the Service after such revision constitutes your acceptance of the revised Terms.
12. These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka will have jurisdiction over disputes arising out of or relating to these Terms.
13. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. You may not assign or transfer your rights under these Terms. VerSe may assign these Terms in whole or in part.
14. VerSe will not be liable for delay or failure to perform its obligations under these Terms caused by an event of natural disaster, acts of God, riots, terrorism, pandemic, epidemic or such other event that is beyond our reasonable control ("Force Majeure Event").
